Windows Vista could prompt for activation when it was previously not required to be activated or was already activated. This only occurs on VL or OEM versions of Vista and not on Retail. Although rare, the Activation Error 0xC004F02A can also occur when restoring a computer from an VL image.
This is caused when a specific system setting is removed and causes the BIOS validation check to fail. This problem is known to occur when using Intuit QuickBooks 2007.
This is not a device or driver issue, but a problem with Windows Vista itself.
To resolve the issue, install the following update depending on the computer arch:
